Kenya Railways Corporation (KRC): Currently part of the team advising KRC on the legal structuring as well as the legal and regulatory framework governing railways and metropolitan railways operation in Kenya aimed at assisting KRC in the design of the Mass Rapid Transport System for the Nairobi Metropolitan Area. In addition, the legal advisory extends to the structuring of the Nairobi Railway City comprising of an ultra-modern Central Station, a government precinct and sustainable housing.

The Pelican Brief: The lead legal advisor to the National Oil Corporation of Kenya, Kenya’s national oil corporation, in the corporate restructuring into a holding company and creation of its three subsidiaries covering the upstream, midstream and downstream business sectors, and the onboarding of a non-equity strategic partner within the downstream business sector, through Specially Permitted Procurement Procedure.

Project Sigasira: Successfully advised the Development Bank of Rwanda in facilitating the issuance of a Frw150 billion sustainability-linked bond which involved comprehensive legal support including identifying regulatory requirements, consolidating transaction-related information, reviewing documents, and drafting key legal instruments such as the Legal Opinion, Prospectus, collateral agreement, trust deed, and board resolutions.

Advising the Federal Democratic Republic of Ethiopia as part of the Consortium led by Ernst & Young with respect to the Proposed privatization of eight (8) sugar companies including guiding the Government of Ethiopia on the regulatory framework governing the sugar industry in Ethiopia and advising on appropriate modalities of privatization.

Tatu City Roads Infrastructure: Advising Tatu City Ltd on the legal soundness of the proposal for the rea-alignment, relocation and/or reclassification of public roads traversing Tatu City and contributing in the legal justification section of the application to KeNHA, KeRRA, the County Government of Kiambu and the National Director of Physical Planning.

Project Unicorn: provided legal advisory services to our clients, Amenthis and AfricInvest, in its intended acquisition of the majority stakes of a Mauritian Holding Company (Netis Holding) operating in the telecommunication industry, which owns several subsidiaries in Africa including Kenya.

Project Kangaroo; provided legal advice to Zenith Bank PLC with respect to its acquisition of 100% equity stake in Paramount Bank Limited, a tier 3 commercial bank in Kenya.
