• One of the first country’s cases related with organizing an international tender for the scaling solar project (project on solar plant construction and supply of electricity) under the PPP Law, preparation of the due diligence report on the project, including an overview of the relevant regulators and legal framework, project agreements (PPA, Financing Agreements), drafting of the Request for Proposals, drafting of the project agreements, close cooperation with the public authorities involved in the tender and legal support during the tender process until a winner of the tender is selected.

• Implementation of the First Electronic Toll Collection System, the first nationwide multilateral project requiring and in-depth analysis of the applicable domestic regulations in numerous areas such road use, land allocation, construction standards, equipment certification vehicle classification etc., as well as the drafting of numerous transaction documents, intensive negotiations and close cooperation with various state authorities and financing parties.

• Advising China Development Bank (CDB) in its financing of a major PRC gold mining company for development of its gold mining projects in Central Asian, including Tajikistan and Kyrgyzstan.

• Due diligence and consulting services for PRC Oil & Gas company on acquisition of an oil field in the Kyrgyz Republic.

• Assisting IFC with organizing a tender for a solar plant project with the capacity of 150 MWt under the PPP legal framework, including preparation of the Legal Environment Report, drafting and review of the RfQ, RfP, other tender documents and project agreements, liaison and meetings with the bidders, Public Partner, PPP Center, National Investment Agency, legal support with implementation of the liquidity support mechanism etc.

• Legal support of General Electric in relation to Toktogul Hydropower Plant Rehabilitation Project.

• Assistance with financing construction of Kulanak Hydropower Plant on Naryn River.

• Legal support of the Ministry of Energy with the implementation of a floating PV plant project at Toktogul water reservoir, including participation in regular meetings, negoitations and workshops with the Ministry of Energy, tax authorities, national grid company etc.

• Legal support of Chinese investor with implementation of several RE (solar) projects in the Kyrgyz Republic, including legal due diligence of local targets, regulatory advice, review and drafting transaction documents etc.

• Advising IFC on renewable energy (small size hydro power stations) regulations covering such matters as water use, reactive power compensation, applicable taxation regulations etc.

• Legal support on the corporate restructuring of the country’s largest gold mining project (Kumtor), including negotiations with counterparts and meetings and discussions with Kyrgyz public authorities, review of current project agreements and review and drafting of new transaction documents.

• Consulting for EBRD on the Revolving Facility for the major gold mine project of Centerra Gold – Kumtor Gold Mine.
