Practice Areas
David Feldman focuses his law practice on corporate and securities law, M&A, and the representation of public and private companies, entrepreneurs, and investment firms. Since 2013, he has advised clients across the legal cannabis and psychedelics sectors on private placements, public offerings, loan structuring, fund formation, corporate governance, and state licensing. He also counsels multinational companies on cannabis-related risk and compliance. David previously led a 60-attorney Cannabis Industry Group at an AmLaw 100 firm.
David advises emerging growth companies on alternatives to traditional IPOs and is recognized as an authority on SEC Regulation A+ offerings. He authored Regulation A+ and Other Alternatives to a Traditional IPO (Wiley, 2018), along with three other books on finance and entrepreneurship. David is a graduate of the Wharton School and the University of Pennsylvania Law School, and a former Chair of Wharton’s worldwide alumni.

David has been associated with or a partner at prominent firms including Norton Rose Fulbright, Pryor Cashman LLP, and Duane Morris LLP. His boutique experience includes Feldman Weinstein & Smith LLP (and its successors), Feldman & Ellenoff (now Ellenoff Grossman & Schole), and his current firm, Feldman Legal Advisors PLLC.

Publications
David published four books: Regulation A+ (Wiley, 2017), The Entrepreneur's Growth Startup Handbook (Wiley, 2013), and Reverse Mergers and Other Alternatives to a Traditional IPO (Bloomberg Press, 1st edition 2006, second edition 2009). He has contributed chapters to several books including Crowdfunding (Bloomberg, 2005) and The Issuer's Guide to PIPEs (Bloomberg, 2009). He also published Comments on Seasoning of Reverse Merger Companies Before Uplisting to National Securities Exchanges (Harvard Business Law Review, 2012).
