Litigation & Arbitration:

■ Successfully defended Chevron Nigeria Limited [CNL] in a suit bordering on alleged oil prospecting, exploration and exploitation activity in Imo State of Nigeria. Following S&A’s representation the claim of N1 billion against CNL was dismissed
■ Successfully prosecuted on behalf Abuja Electricity Distribution Plc [AEDC], a suit challenging the legality of the demand for a yearly payment of N17.5million as corporate parking taxes and levies. The Court found in favour of AEDC and declared the tax illegal, null and void
■ Successfully defended SPDC in a decade-long oil and gas related litigation which the Plaintiffs commenced at the Yenagoa Judicial Division of the Federal High Court of Nigeria. The Plaintiffs sought damages of circa N29billion. Upon S&A’s appeal, the Appeal Court upturned the decision of the trial Court and dismissed the suit in favour of SPDC
■ Successfully defended Total at the Court of Appeal in an appeal arising from a suit wherein the Claimants at the lower Court had claimed the sum of N2billion against Total for alleged forceful acquisition of their land. Years back, S&A had also successfully secured victory on behalf of Total at the lower Court. The Appellants have filed an appeal against the judgment at the Supreme Court and S&A has been briefed to undertake Total’s defence thereof
■ Successfully defended Total at the Court of Appeal in a high stakes property transaction. In upholding the decision of the trial court which was in favour of Total, the Court of Appeal validated Total’s $12million purchase of the subject properties
■ Successfully defended Nigeria LNG Limited at the Court of Appeal in a N150million judgment enforcement appeal. The judgment which was in favour of NLNG is the 5th victory secured by S&A on behalf of NLNG in a decade-long multi-billion Naira judgment enforcement legal battle by the Appellants in which they have instituted and continue to simultaneously prosecute 8 suits and 3 appeals in multiple courts and jurisdictions against NLNG
■ Successfully prosecuted an action on behalf of a reputable global tyre manufacturing company to cancel multiple infringing entries on the Trademarks Register at the Nigerian Trademarks Registry. S&A’s roles included filing a petition at the Trademark Registry, representing the company at the hearing and presenting arguments in support of the petition
■ Ongoing representation of NALCO Champion (a Nigerian subsidiary of Ecolab) at the National Industrial Court, Nigeria. This suit is one bordering on alleged wrongful termination of the employment of an erstwhile senior staff of NALCO. The Claimant is claiming damages of N55million

Corporate & Commercial (M&A, Banking & Finance, Corporate Finance/Capital Markets):

■ Advised and registered on behalf of an indigenous construction Company its technology transfer agreement in the sum of N74 billion. This transaction involved foreign consultants who provided the requisite technology and expertise for executing the works in Nigeria
■ Part of the top-tier firms engaged and working with the Presidential Enabling Business Environment Council with respect to the ongoing legislative reforms on laws regulating the business clime in Nigeria (i.e. Companies and Allied Matters Act, CAC Regulations, 2012, the Omnibus Bill etc.)
■ Acted as sole transaction advisor and drafted the necessary documentation for knowledge exchange and crossborder technical interface between a Nigerian franchisee and Krispy Kreme. It also procured all necessary regulatory permits and ancillary issues including trademarks and related IP rights and generally managed and drove the entire process of establishing operations in Nigeria. The transaction culminated in the successful establishment of the first Krispy Kreme franchise store in Nigeria and indeed the whole of West Africa
■ Conducted extensive due diligence and gave transactional support in respect of the establishment of Africa Infra Plus Fund including the registration of the Fund with the Securities and Exchange Commission, Nigeria . Other roles include drafting and review of the transactional documents (the Prospectus, Vending Agreement, Information Memorandum, etc.) and exclusively focused on the acquisition and development of infrastructural assets including roads, bridges, dams and other civil constructions in Nigeria. The Fund is important because it is a landmark and pioneering fund being the first Infrastructure fund in sub-Saharan Africa to be totally and exclusively domiciled in Naira
■ Currently acting as transaction counsel to an indigenous oil and gas company in the acquisition of 40% participating interest in its mining lease by a prospective investor. The firm’s role includes advising, drafting, reviewing transaction documents and corporate due diligence on the investor
■ Acting as lead transaction advisors for PE Energy Limited in the acquisition and restructuring of an oil and gas entity in the Republic of Ghana. In addition to acquiring the Ghanaian entity, the transaction will also involve PE Energy Limited entering into a technical Partnership Agreement with the Ghanaian entity and earning royalties and commission from the Ghanaian entity
■ Acting as the Nigerian transaction advisors in a JVA involving French automobile giant Peugeot and the biggestconglomerate in Africa. The JVA will involve the development and operation of Greenfield production facilities in Nigeria for the assembly of Peugeot vehicles and for the commercialisation of locally produced and/or imported Peugeot vehicles through the development of a distribution network for same within Nigeria

Energy & Natural Resources:

■ Representation as transaction counsel in a Power Purchase Transaction between a State Government and 5 Independent Power Producing Companies. S&A’s role included extensive review and redrafting of the Power Purchase Agreements between the State Government and five (5) Independent Power Producers (IPPs) for the powering of critical public infrastructures (streetlights, traffic lights, hospitals, etc.) in the State
■ Represented an indigenous oil company in its land and swamp location preparation for drilling operation, a transaction estimated at N36billion. S&A’s role involved drafting Construction Agreement (for the land and camp site) and Swamp Dredging Contract
■ Negotiated and facilitated the procurement of a lease agreement for the effective drilling campaign
■ Representation in a Farm-in transaction with respect to the company’s proposed drilling activities. S&A’s role involved advising, drafting and review of transaction documents
■ Reviewed and advised a client on an oil service contract pre-execution between it and an oil major worthN3.3billion
■ Prepared a technical service agreement for a project awarded to a Client by NLNG with a value of N570million
