International Work

• Acting for a UK headquartered global health insurance company on the THB 2.17 billion sale of its Thai subsidiary to a US managed global health insurance company.
• Advising a SGX listed company in its contemplated reverse takeover transaction by conducting a legal due diligence on Thai subsidiaries of a Singaporean company, and providing a write-up on the relevant Thai laws and regulations to be included in the RTO prospectus/circular for submission to the Singapore Exchange Securities Trading Limited (SGX-ST)
• Acting for a global life insurance company and its Thai subsidiary in the THB 17.5 billion 100% share acquisition of a life insurance subsidiary of a SET-listed bank, and advising on the bancassurance agreement between the parties.
• Acting for a Swiss-based global pharmaceutical company on the USD 5.4 billion disposal of its animal health business to a US global animal health company with respect to Thai assets.
• Acting for a global construction consultancy company in the establishment of a foreign-owned company, applying for the Board of Investment (BOI) Promotion Certificate under the category of Trade and Investment Supporting Office (TISO), obtaining foreign business certificate with respect to such BOI certificate, applying for full commencement of business with the BOI, submissions of the progress reports and annual report to the BOI.
• Advising a global logistics company in various employment matters, particularly in relation to ongoing compliance with the Labour Protection Act.
• Representing a Chinese vehicle manufacturing company in a lawsuit filed by British global automotive company on the grounds of trademark infringement and licensing agreement.
• Advising a foreign EPC contractor on the RFP, Project Agreement and Thai laws in the bidding phase of the High Speed Rail Linking Three Airports Project.
• Advising a leading global provider of B2B travel services on legal and tax considerations for its global restructuring of its hotel reservation and meeting and events business.
• Acting for a Spanish global energy company in the USD 2.23 billion acquisition of an international exploration and production company.
