Representative work includes advising Reental Holding, a leading tokenised real estate investment platform in Spain and Latin America, on the cross-border consolidation of its global corporate structure into the United States, increasing its valuation beyond USD 43 million. The firm also advises Orbis Capital on the structuring of private equity vehicles for strategic acquisitions in the United States.

Mergers & Acquisitions

The M&A practice represents entrepreneurs, privately held companies, private equity funds and international investors across a broad range of transactional mandates, including domestic and cross-border share and asset acquisitions, joint ventures, restructurings and strategic investments. The team advises both buyers and sellers throughout the transaction lifecycle, from initial structuring and due diligence through negotiation, execution and post-closing integration. Notable mandates include advising Forandra Capital on the structuring of Activist Fund I, a cross-border investment vehicle raising an initial USD 60 million, and advising VDA Miami and Bay Harbour Investment, Inc. on a USD 35 million construction loan for a luxury multi-family development in Bay Harbour Islands.

Securities Law

The Securities practice, co-led by Managing Partner Moisés Saltiel and Tax Lead Counsel Andrés Hernández, advises on private placements, fund formation, tokenization structures, blockchain-based investment models, and compliance with U.S. federal and state securities regulations. The team regularly counsels Reental Holding and ReentalToken on structuring tokenized investment offerings across multiple jurisdictions, and advised Omen Capital on “Inmaterial”, a landmark tokenized private equity fund in Mexico.

Business Litigation & Dispute Resolution

Led by Partner Matthew Carcano, the Litigation Group manages complex commercial disputes, real estate conflicts, fraud claims, partnership disagreements, and cross-border business litigation. The firm recently secured a USD 429,000 jury verdict in a joint-venture dispute involving Wynwood properties, reaffirming that conduct and performance may establish enforceable obligations under Florida law (CACE-23-017554). The matter was led by Matthew Carcano and Litigation Associate Hubert Menendez.

Tax Law

The Tax practice is headed by Tax Lead Counsel Andrés Hernández and advises high-net-worth individuals, family offices, and international businesses on U.S. and cross-border tax planning, investment structuring, trust taxation, asset protection, and the tax implications of corporate reorganizations.
