Main Areas of Practice

1.Corporate & Commercial

A strong emphasis is placed by Nabulsi & Associates on its corporate and commercial practice. The Firm has been providing its clients with legal assistance covering all aspects of incorporating and operating in Jordan. As such, the Firm advises on all issues relating to company laws, special zones legislations, and sector-oriented laws to support clients wishing to incorporate in Jordan. Moreover, the Firm advises on taxation and labour laws, incentive schemes, equity thresholds, shareholding structures and models, and all other requirements under Jordanian law for incorporating business entities.

Once incorporated in Jordan, Nabulsi & Associates lends its legal assistance to clients regarding their shareholder and contractual relationships, internal organization, employment and commercial reorganization matters. The Firm also handles de-registration, liquidation and the winding up of companies. Furthermore, the Firm advises its clients on all corporate agreements and contracts including supply contracts, service contracts, maintenance contracts, employment contracts, sales and lease agreements, consultancy agreements and any other types of contracts relevant to the Client's business. The Firm advises its clients on all aspects of Jordanian law, including the following:


  • Registration and Permitting Issues. One of the main focus areas of this Firm is its corporate practice. The Firm handles all matters pertaining to the registration (incorporation) of legal entities, following up on their corporate actions and assist in obtaining all approvals and permits needed for the operation of the entity in Jordan. A strong focus in this area is to draft and review shareholders agreements, share purchase agreements and advise on the various models available under Jordanian law to protect minority shareholders, including tag-along and drag-along rights, priority rights and the inclusion of reserved matters for majority voting. Our Firm can also give concise advice on equity participation rules and means of obtaining investment facilities and exemptions for its clients.
  • Labor Law. The Firm advises its clients on all areas relating to employment, rights and obligations of employees and employers, termination of employment contracts and any benefit packages or internal charters applied by the employer. The Firm is also conversant with labour disputes and can litigate all cases relevant to employment. We are also able to submit and finalize work permit procedures as may be required by the clients.
  • Tax Issues. The Firm handles all questions on the laws pertaining to taxation of the corporate and natural persons.
  • Regulatory Matters. The Firm will also assist the Client in any regulatory requirements regarding their operations in Jordan including sector-specific permits and prerequisites, and ongoing certification or licensing requirements.
  • Contracts. Review all contracts pertinent to the activities and day-to-day operations of the Clients in all disciplines and advise the Client on Jordanian laws of any nature. These contracts would also include EPC and O&M contracts, joint-venture agreements for contractors and construction projects, shareholding and other related agreements, supplies and procurement agreements, local law issues and private international law.
  • Commercial Disputes. The Firm lends its litigation experience to its clients by advising them on any disputes or potential litigation with an eye to minimizing legal risks in terms of the strength of each case or the benefits reaped from litigating the case versus an amicable settlement.

2.Banking & Finance

The Firm advises on all aspects pertaining to the banking and securities laws in Jordan. The specialization of the Firm includes working on various transactions including syndicated loans, credit agreements, project funds, share retention arrangements, and security sharing agreements. All loan agreements in which the Firm participated have been successfully closed.

In the financial markets field, Nabulsi & Associates advises on all matters relating to securities and stock exchange legislation, and has rendered legal opinions on securities lending, financial market regulations, stock exchange requirements and the general legal framework governing the sale and purchase of securities in Jordan.

3.Privatization & Infrastructure

As one of Jordan’s recently expanding fields of practice, privatization and finance projects constitute one of the Firm’s main focuses. The Firm has been involved in numerous transactions covering equity, project finance, mergers and acquisitions and other infrastructure and utility privatization deals.


The services of the Firm include legal advisory for conducting due diligence studies, comprehensively assessing the legal position of target companies. The Firm also participates in negotiations, while drafting and advising on project documents and assisting in the legal and financial closing. This involves assessing various BOT and other PPP structures, and providing legal opinion on all laws governing the various aspects of privatization, including expropriation and environmental aspects. The Firm has also advised on numerous transactions which required an in-depth review of EPC and O&M contracts.

4.Construction

The Firm is currently advising several international clients on major construction projects. The advisory given by Nabulsi & Associates in this area includes a thorough review and assessment of relevant construction laws and contracts, including FIDIC rules. The Firm also relies on the expertise of its Senior Partner who has been nominated as an arbitrator in several high-profile construction disputes.

5.Law Reform & Public Policy

The Firm has participated in drafting and advocating several pivotal pieces of legislation in Jordan and abroad. This practice has the Firm’s signature on laws such as the Insurance Law for Jordan and the Palestinian territories, the Investment Promotion Law, the Competition Law and the Civil Aviation Law.

Before the introduction of the first mobile telephone operator in 1995, the Firm has been commissioned to cover all legal aspects for reforming the Telecommunications sector in Jordan, including the drafting of the new Telecommunications Law of Jordan. Moreover, the Senior Partner, Mr. Omar Nabulsi, has been selected as a member of various legal committees in the Kingdom to review existing legislations and propose legal reforms.

6.Litigation & Dispute Resolution

The Firm holds an impressive arbitration and dispute resolution portfolio, whereby it represented and is currently representing many clients in settlement proceedings. The Firm advises on all aspects of international ADR mechanisms such as the ICC, ICSID and UNCITRAL. Such arbitration proceedings involved advising on the Jordanian law pertinent to construction, transport, chemical and pharmaceutical industries and banking.

Mr. Zaid Nabulsi has been a partner in Nabulsi & Associates since 1995 and has been involved in all matters pertaining to corporate and transactional matters for the clients. His experience expands to include drafting of various contracts, employment contracts, charters of companies, loan agreements and financing arrangements, and advising on issues related to foreign investment, company law, securities law, tax law, commercial law and employment law. Mr. Zaid Nabulsi has served as a Legal Officer in United Nations Compensation Commission (Geneva, Switzerland), where he was involved in review of claims of governments, corporations, and individuals arising out of Iraq’s invasion and occupation of Kuwait in 1990. Zaid has been admitted to the Jordanian Bar Association in 1994 and holds a LL.B. from the University of Southampton, and a LL.M in International Business Law from the University of London.

Ms. Rand Hannun joined the firm in 2008. Throughout her career, she has acquired diverse and extensive legal practice in areas of trade and investment policy including customs, free zones, investment laws, international trade agreements, trade and economic policy reforms in emerging economies and pertaining legislative drafting and advocacy. In particular, Ms. Hannun has effectively participated in some of Jordan’s leading reform initiatives for economic development under the flagship of USAID, including Jordan’s accession to the WTO, the transformation of Aqaba into a Special Economic Zone and regulatory support to the newly established Development Zones Commission. Currently, Ms. Hannun is involved in matters of corporate, taxation, banking and finance, labour and privatization nature. Rand has been admitted to the Jordanian Bar Association in 2001 and holds a LL.B. from the University of Jordan, and a LL.M in International Business Law from the University of London.
