M&A, Corporate & Restructuring:

The M&A, Corporate & Restructuring team assists clients in any matter relating to extraordinary transactions. Over the years, the team gained a particular expertise in assisting international clients in the acquisition of Italian companies and businesses which — although often accruing a significant turnover — still have a family-run organisation and shareholding structure. This allows clients to plan their strategy taking into accounts the peculiarities and possible obstacles which may emerge from negotiations with the owners. In this respect, Jenny.Avvocati is often required to advise, after the acquisition, for a proper transition to the purchaser’s organisation. The services provided after the acquisition also encompass the alignment of contractual documentation and compliance policies of the target with the purchaser’s ones, alongside with corporate secretary services. The team also advises sellers — whether entrepreneurs, groups or financial investors — when disposing of their shares in Italian companies.

Commercial Law:
Jenny.Avvocati assists clients in the structuring of any type of commercial agreements, with a strong expertise in commercial agency, distribution and franchising. This activity targets both manufacturing and trading companies, with an increasing focus on new technologies and sales techniques, and consequently on their impact on data protection, commercial practices and consumer protection.

Real Estate:
In real estate, Jenny.Avvocati assists all types of investors and industrial clients in any kind of transactions: from new project structuring, to acquisition and project construction, to the sale stage, to leases, business rentals and other property management contracts.

The team has gained a significant experience in assisting high net-worth individuals willing to purchase residential properties throughout the country.

Litigation & Bankruptcy:
The team has a strong experience in corporate and commercial litigation, and is often involved in crossborder cases. Assistance is provided both in all Italian courts and in arbitration proceedings, also before international arbitration institutions. In relation to bankruptcy, the team has a particular expertise in assisting international clients in the enforcement of their rights vis-à-vis Italian companies affected by any type of insolvency proceedings.

Employment & Labour Law:
The Employment and Labour Law team has consolidated in-depth experience of employment and trade union law. The team assists in the context of extraordinary transactions and reorganisations, also in relations with staff representatives. Advice is also provided in the setup and management of staff organisations, through all-round support extending from identifying contractual models to internal policies, remuneration systems, including retention, non-compete/ confidentiality agreements and incentive schemes. The team is familiar in the management of individual employment relations including with top managers. The activity extends to employment litigation in all the above areas.

Jenny.Avvocati has a strong experience in the drafting of compliance programmes pursuant to Legislative Decree no. 231/2001 on corporate criminal liability, and is also used to assist in ensuring their coordination with compliance policies adopted globally by foreign groups. The expertise also includes data protection law and all the GDPR-related matters. The firm can also act as external DPO for its clients. As to competition law, in recent years the team has witnessed with a strong demand for assistance relating to antitrust compliance programmes. Safety at work is another area of expertise.
