■ Acting for Canada Pension Plan Investment Board (CPPIB), Warburg Pincus, Discovery Capital Management LLC and Boyu Capital in its subscription of the shares issued by Ant International Co., Limited (an offshore affiliate of Ant Small and Micro Financial Services Group Co., Ltd.). The total transaction price of this round of financing, to which CPPIB, Warburg Pincus, Discovery Capital Management LLC and Boyu Capital are among the investors, is around US$ 14 billion
■ Acting for Alibaba in its strategic investment in Focus Media Information Technology Co., Ltd. (SZ002027), the total transaction price is approximately RMB 15 billion
■ Acting for Alibaba in its strategic investment in Wanda Film involving a transaction price of RMB 7.794 billion
■ Acting for Boyu Capital in its equity investments with 6 Dimensions Capital and another co-investor in Harbin Gloria Pharmaceuticals Co., Ltd. involving a transaction price of RMB 1.275 billion
■ Acting for the consortium comprising of Boyu Capital, Ally Bridge, Temasek, Yunfeng Capital, Sequoia and Hillhouse in a US$800M syndicate loan facility granted by Ping An Bank Co., Ltd. and Shanghai Pudong Development Bank Co., Ltd. for the privatisation of WuXi PharmaTech (Cayman) Inc., which was listed on the New York Stock Exchange
■ Acted for ChemChina in its US$43 billion cash offer to acquire Syngenta, the largest overseas acquisition by a Chinese company thus far
■ Acted for Tianhai Investment, an affiliate of HNA Group, in its US$6 billion acquisition of Ingram Micro, the world’s largest technology products distributor
■ Acted for a consortium of Chinese Internet firms and investors in its US$1.2 billion acquisition of Opera Software, the second largest mobile search engine in the world based in Norway
■ Acted for Didi in its acquisition of Uber China, the combination of the largest and second largest ride-hailing operators in China
■ Acted for Baosteel in its merger with Wugang Steel, the combination of the largest and second largest Chinese steel makers
■ Acted for Alibaba for the 100% buyout deal of at a total purchase price of approximately US$ 9.5 billion
■ Acted for Bluesail Medical Co., Ltd in connection with its acquisition of 93.37% stake in Biosensors Internal Group Co., Ltd at the price of approximately RMB5.895 billion. This was reported as the largest acquisition of medical device company by an A share company
■ Acted for Kerry Properties in connection with its investment, acquisition, development and financing of the real estate projects in Shanghai and other cities of China
■ Acted for the basketball legend Mr Michael Jordan in a series of litigation against Qiaodan Sports Company for its registration of Mr Jordan’s name as company name and trademarks before the China Supreme Court
■ Acted for two global auto makers, in handling the first and the largest high-profile dawn raid and investigations by the NDRC in the automotive industry
■ Represented a world leading tourism company in a high profile investigation by six agencies of the Chinese government including among others the PSB, the CAC and the MSA for potential violations of cyber security, content management, tourism and advertisement laws; resolved the case without fines
■ Represented a US leading technology company in a criminal bribery investigation by the Chinese prosecutorate, and the prosecutorate decided not to prosecute the company; worked together with a leading US law firm in conducting subsequent FCPA internal investigations, assisting the company to self-report to the US DOJ, and taking remedial measures in China
■ Represented Conocophillips in a public interest environment litigation which is the first time that a multinational was sued in a public interest environment litigation in China. The firm has obtained favourable outcome for the client and the plaintiffs’ claims were not supported by the court
