Main Areas of Practice:

Capital Markets:

The firm has participated in public and private offerings of equity and debt instruments by the principal public companies listed on the Mexican Stock Exchange and in the global markets. The firm also has experience on a wide range of industrial, commercial and service companies, financial institutions, as well as other organisations both local and foreign. RMA’s lawyers have had a relevant participation on the analysis and drafting of the regulation of the Mexican securities market. The firm has acted as counsel to investment banks and companies on public and private placements and in public stock or debt tender offerings, and has been involved in several offerings of debt and equity instruments, as well as in offerings of structured instruments such as Fibras or CKDs.

Banking & Finance:
RMA’s lawyers actively participate in advising the main banking institutions of Mexico and abroad, plus other financial companies such as insurance companies, brokerage firms and rating agencies, both national and foreign. For many years the firm has participated in the industry and its members are highly regarded by clients for their genuine service vocation and greatest level of commitment. The firm actively participates in the structuring and execution of financing transactions, regulatory matters, debt, asset and liability placements on stock exchanges, etc. RMA’s lawyers have also developed a solid practice in project finance, particularly on the electricity, gas, oil and telecommunications industries as well as urban and general infrastructure project, involving both public and private sectors.

Mergers & Acquisitions:
The firm has a solid experience advising complex commercial and corporate matters, focusing in the structuring and management of groups of companies, as well as in their restructuring processes, and in planning defence schemes against investment and takeovers. The firm has been involved in deals for both Mexican and foreign companies, amongst which are the more relevant transactions performed in Mexico. The firm has been consultant to buyers and sellers of different markets and industries such as TMT, infrastructure, energy, automobile, banking and finance, insurance, internet, real estate, logistics, etc. RMA’s lawyers have also acted as consultants to financial institutions that participate as creditors on leveraging acquisitions.

Telecommunications & Antitrust:
The firm has represented some of the most important companies in the Mexican telecommunications sector and foreign companies interested in participating in such market, including before Mexican authorities concerning the granting of concessions and authorisations. The firm has also been counsel to companies involved in the cable TV and radio industries. RMA has advised both local and foreign clients in the main transactions in Mexico involving antitrust matters and in processes filed before the Mexican regulators concerning transactions which have required their authorisation, and in procedures elated to alleged monopolist practices.
