Our firm combines Harvard and BigLaw pedigree with the personal attention of a boutique practice. M&A is all we do, and we work on a flat-fee pricing model for almost every engagement.

    Mergers & Acquisitions

    Team size / location: 2 attorneys based in Durham, North Carolina

    Selected experience (representative matters):

    • Longview Restoration. Longview Restoration is a residential restoration rollup, and we helped design the rollup’s structural blueprint, then guided it through its first acquisition, setting up the platform for additional acquisitions.
    • Juiced Technologies. Juiced Technologies, a suite of software add-ons, sold to the platform on which their add-ons were built. We guided the founders through the process, always keying in on the elements of the deal that matter most in SaaS transactions.
    • Ohio Industrial Sales. We helped the acquirer of Ohio Industrial Sales, a distributor and installer of manufacturing products. We navigated having both external investors and a ROBS structure. The transaction also involved a sale-leaseback of the real estate.
    • Adams Granite. We helped Adams Granite, a granite carving/tombstone business, in its sale to an independent sponsor. This transaction included handling slow-moving specialty inventory and collective bargaining considerations.
    • Appex. Appex built a portfolio of mobile applications, and we served as M&A counsel on many of their acquisitions. We ran a standard playbook but also varied the playbook as necessary to suit the needs of each transaction, and we facilitated acquisitions no matter where the sellers were located, be it in the US or Europe.
    • Autobody News. We helped self-funded searchers purchase Autobody News, a legacy niche media business, . Barlow & Williams helped them translate “fit” into a close by acting as a buffer with the seller, smoothing negotiations, and resolving obstacles so the buyers could get to the closing table.
    • Southport Ventures. Southport Ventures acquired a niche laboratory software business. We created a workable deal structure with investor capital plus seller rollover equity, keeping incentives aligned and preventing a complex, multi-party transaction from bogging down.
    • MyWorks. After weighing multiple offers, we helped the founder of MyWorks, a SaaS business offering an integration between ecommerce stores and bookkeeping software, sell to an international software aggregator in what has turned into a very successful acquihire transaction.
  • International Work

    We’ve assisted clients, both buyers and sellers, in a number of cross-border transactions involving digital businesses. There have been a number of ecommerce and software businesses, as well as a couple of other types of businesses like membership businesses and agencies. We’ve facilitated transactions where at least one party was in Europe, Asia, South America, and Australia.
