The team has acted on some of the largest transactions, both at local and regional level. A selection of the most important recent mandates which have been completed includes:
■ Assisting a major energy holding in (at the time) the largest post privatisation deal in the energy sector regarding the sale to an investment fund of 30% of the shares held in an energy and gas distribution company
■ Assisted a quality-of-life services leader company in acquiring the largest Romanian provider of leisure, sports and wellness corporate memberships for employees
■ Advising on the implementation of NEXT-E project (a unique cooperation of four electricity and oil and gas companies joining forces with car manufacturers to create interoperable and non-discriminatory EV charging network that will cross six countries) - its work included assistance on urban planning, European grants and Connecting Europe Facility (CEF) programs, public acquisition procedures, interaction with public authorities in Romania and other regulatory requirements for the setting up of a network of electric vehicles chargers, securing real estate rights, obtaining relevant approvals and permits, as well as concluding public tender procedures
■ Assisted and represented an integrated gas and electricity company in relation to a preliminary investigation by the Competition Council regarding ancillary services for the distribution of electricity and natural gas
■ Assisted and represented a major retailer in relation to a dawn raid by the Competition Council and an investigation concerning alleged price fixing in promotional sales
■ Advising a gas distribution company in relation to the negotiation of amendments to gas concession agreements with the Ministry of Energy, as well as in relation to the participation to public procurement procedures for new gas concession agreements
■ Assisting a major player in the vouchers sector on a variety of legal issues pertaining to its operations in Romania, including corporate M&A, labour, competition, insolvency, litigation and regulatory matters
■ Assisting a top energy player in connection with its operations in Romania, including advice on energy and gas regulatory issues, ownership right over the assets in the gas and electricity sector, concessions, licensing, procurement agreements, as well as in relation to all corporate restructurings, mergers, spin-offs and acquisitions undertaken after privatisation
■ Assisting a French hypermarket operator on numerous real estate projects, including lease negotiations and development of retail parks ■ Advising a top Romanian developer of logistics and industrial real estate in relation to the leasing of both development phases of a project recognized as the Industrial Project of the Year by a leading real estate publisher
■ Assisting and representing the client in a complex and high-profile litigation commenced by Digi Communications (formerly, RCS & RDS), challenging the exclusivity of the electricity distributors in the areas granted through distribution concession agreements
■ Assistance and representation in proceedings commenced against the Romanian Energy Regulatory Authority (ANRE) in relation to regulated tariffs and related matters, with an aggregated value of over EUR 200 m (million)
■ Advising and representing a major player acting in the energy sector in several ICC arbitration cases, including in relation to alleged breaches of a privatisation agreement
■ Assisting an international facility service provider in several litigation files related to collective dismissal procedures
■ Assisting a Slovakian creditor in an international insolvency procedure against a Romanian debtor
■ Assisting a top 3 Romanian bank in relation to its non-retail credit agreements (B2B) for Multi-option multi-currency facility - by applying the firm’s innovative simple contracts product, the firm reengineered a complex contract in reflecting the essence thereof in a simple manner, while preserving the legal protection
■ Assisted a global leader in generics and biopharmaceuticals in approving and implementing the group’s receivables securitisation programme arranged by an international bank
■ Assisted a tech start-up developing the first mobile app on corporate carpooling in Romania
■ Advising and representing multinational companies in criminal cases involving corruption, cybercrime and disclosure of non-public information
■ Advising and representing a multinational company with respect to criminal litigations related to fraudulent consumption of electricity
