Global Practice Guide Terms

1. Introduction 

The following Global Practice Guide Terms ('GPG Terms') will apply when you agree to provide an article written by one of your lawyers to be published in our Publications. These should be read in conjunction with the Master Terms that will also apply.

1. Interpretation 

1.1 Where used in these GPG Terms: 

(a)  'Chambers Contact' means the person nominated from time to time by Chambers as your point of contact in relation to creation and finalisation of the GPG Contribution; 

(b)  'Customer Marks' means your firm name and any brand names, logos or signs used by you in relation to your services; 

(c)  'GPG Charge' means the annual charge payable by you to Chambers in respect of the publication of the GPG Contribution in the Publications, as set out in the GPG Contribution Form; 

(d)  'GPG Contribution' means the article or other text, audio recording, video, photographs, illustrations, graphics or other material described in the GPG Contribution Form which you provide to us for inclusion in the Publications; 

(e)  'GPG Contribution Form' means the form provided by Chambers which must be completed and signed on your behalf, confirming details of the GPG Contribution; 

(f)  'GPG Contribution Term' means the period during which your GPG Contribution(s) will be featured in the Publications; 

(g)  'GPG Deadline' means the date by which you must submit any GPG Contributions to Chambers; 

(h)  'GPG Publication' means any guide, directory or material published by Chambers in any medium in which the GPG Contribution will be published as specified in the GPG Contribution Form; 

(i)  'Publishing Schedule' means the schedule notified to you by Chambers, setting out the timetable for actions to be taken by the parties before the GPG Deadline; 

(j)  expressions defined in the Master Terms and used in these GPG Terms have the meaning set out in the Master Terms; and 

(k)  the rules of interpretation set out in clause 2 of the Master Terms shall apply to these GPG Terms. 

2. Your obligations


2.1 You warrant, agree and undertake: 

(a)  to co-operate and collaborate with the Chambers Contact in accordance with the GPG Publishing Schedule to provide each final GPG Contribution by the GPG Deadline for us to create and finalise the content of the piece into which the GPG Contribution will be included and the format of it before publication; 

(b)  if requested, to read, check and correct all proofs of each GPG Contribution sent to you by us and to return them to us in accordance with the GPG Publishing Schedule or, if not specified in the GPG Publishing Schedule, within 14 days from receipt. If you do not within such time notify us of any corrections which may be required to be made, we shall be entitled to proceed with physical publication of the GPG Contribution in the Publications and such non-notification shall be deemed to constitute confirmation that the content of the GPG Contribution is true and accurate; 

(c)  to advise Chambers without unreasonable delay if, at any time during the GPG Contribution Term, any part of the GPG Contribution is affected by commercial or legislative developments which might make it necessary or advisable for the same to be amended, altered or updated; 

(d)  that all statements purporting to be facts in the GPG Contribution are accurate and correct; 

(e)  that no part of the GPG Contribution will contravene any applicable law or regulation, or contain any defamatory content; 

(f)  that you (and/or your licensors) are the owner of all Intellectual Property Rights in the Customer Marks, GPG Contribution(s) and any other material supplied to us in relation to these GPG Terms and you are able to grant us all rights in the same that you purport to grant hereunder. You also agree that Chambers shall be entitled to see evidence to this effect on request; 

(g)  our use of the Customer Marks and GPG Contribution(s) in accordance with these GPG Terms will not infringe the rights of any third party; 

(h)  to indemnify us and keep us at all times fully indemnified from and against all actions, proceedings, claims, demands, costs (including without prejudice to the generality of this provision our reasonable legal costs), awards, damages however arising from any action, demand or claim that use or possession of any GPG Contribution infringes Intellectual Property Rights or breaches the legal rights of any third party. 

2.2 You understand and accept that we: 

(a)  may make reasonable attempts to contact you to remind you of the GPG Publication Schedule and GPG Deadline before, and for up to one month after, that GPG Deadline, using the contact details provided on the GPG Contribution Form, and may offer one or more extensions to an upcoming GPG Deadline (which shall, if accepted, be confirmed in writing by us); 

(b)  cannot be held responsible for any alterations or corrections to proofs of the GPG Contribution which are submitted after the GPG Deadline; 

(c)  reserve the right, subject to clause 2.3 below, to publish the Publications without the GPG Contribution if submitted after the GPG Deadline; 

(d)  reserves the right to enter into an agreement with another contributor for the provision of an equivalent article to each GPG Contribution if you fail to submit a GPG Contribution more than three months after the GPG Deadline; 

(e)  shall have full editorial control over each GPG Contribution and the Publications, and you agree not attempt to influence Chamber's choice of users, lawyers, law-firms, contributions, advertisements or other content of such Publications; and 

(f)  reserve the right to alter, postpone or cancel print and publication dates at any time without notice. In the case of cancellation of publication, the contract between us will be terminated and you will be eligible for a refund of the GPG Contribution Charge to the extent that it has already been paid to us 

2.3  Chambers may, at its discretion, add a GPG Contribution to the online (but not hard copy) versions of the Publications if the GPG Contribution is submitted within three months after the GPG Deadline, but the GPG Contribution Term shall not be extended to take into account of the later publication date and you will not be eligible for a refund of any part of the GPG Charge. 

2.4  Upon the expiration of the original GPG Contribution Term or any renewal term, your GPG Contribution shall be automatically renewed for a 12 month period unless, at least ninety (90) days prior to the expiry of the GPG Contribution Term, either party gives the other party written notice of its intent not to renew the contract for the publication of the GPG Contribution. Chambers reserves the right to increase the GPG Charge for the Renewal Term by an amount not to exceed five percent (5%) of the fees charged in the prior, expiring term.

3. Rights 

3.1  You hereby grant to Chambers a perpetual, worldwide, transferable and non-exclusive licence (including the right to sub-license) to use the Customer Marks in connection with the GPG Contributions in the Publications for the GPG Contribution Term. 

3.2  Title to and ownership of all Intellectual Property Rights embodied by or otherwise incorporated into the Customer Marks shall remain with you. 

3.3  Subject to clause 3.6, you hereby grant to Chambers a perpetual, sole, transferable, worldwide licence (including the right to sub-license) to publish the GPG Contribution in the Publications. 

3.4  You acknowledge and agree that following the expiry of the GPG Contribution Term, Chambers may continue to use the Customer Marks and the GPG Contribution(s) in online archived versions of the Publications. 

3.5  You reserve the right to use, reproduce and adapt the GPG Contribution(s) in the course of your activities as a legal professional and subject to the provisions of clauses 3.6 and 3.7 reserve the non-exclusive right to authorise the use, reproduction and adaptation of the GPG Contribution(s). 

3.6  You shall not without the written consent of Chambers make available, or authorise any third party to make available any GPG Contribution, or any part thereof, for publication in any work which is concerned with the same subject matter as the Publications and which competes directly with the Publications provided this restriction shall cease to apply if the relevant GPG Contribution is not published by Chambers for any reason. 

3.7  You undertake that if a GPG Contribution is published other than in the Publications, you shall procure that all copies, quotations and excerpts be marked with an appropriate credit in the following terms, or such other terms as Chambers may specific from time to time, and include a backlink to the original Publication online where applicable:

4. Copies of Publications 

4.1 If the Product Description or GPG Contribution Order Form specifies that physical copies of Publications will be included, they will be supplied in accordance with the Goods Terms.
