Our Austrian capital markets department is best known for highly specialized legal advice for issuers, underwriters/bookrunners and investors in relation to equity and debt capital market transactions (ECM/DCM). Our practice includes work on IPOs, re-IPOs, rights issues, secondary placements, accelerated book buildings, convertible bonds,  high yield bonds, corporate bonds (stand alone and debt issuance programs), tier I and tier-II instruments, secured / covered bonds as well as warrants. We also engage in securitizations and public M&A deals (takeovers of listed companies).

In addition, we represent clients in relation to regulatory matters (banks and insurers), in connection with reporting and compliance obligations, regulatory or administrative proceedings as well as offer related matters.

Recent work highlights include 

  • representing the bookrunners on the Addiko Bank AG IPO in July 2019, 
  • advising Suzano Austria GmbH (Suzano Papel e Celulose S.A) as issuer on global bond issuances, 
  • advising the joint lead managers in relation to the EUR 500m benchmark bond of IMMOFINANZ AG in 2019,
  • advising OMV AG as issuer in connection with several bond issues in 2020,
  • representing S&T AG in connection with a naked warrants issue in 2020
  • representing the bookrunners on the ams AG EUR 760m convertible bonds issue in November 2020
  • representing Vienna Insurance Group  AG as issuer in connection with several bond issues in 2021
