Overview

Vorys regularly represents financial institutions in structuring, devising, negotiating and documenting a broad range of finance transactions. We assist clients in connection with credit facilities, asset-based lending, second lien and mezzanine financing, construction financing, receivables financing, acquisition financing, structured finance, defeasance transactions and loan restructurings and workouts. We also provide counsel in: letters of credit and other credit enhancements, intercreditor and subordination matters, and creditors’ rights issues.
Vorys also advises clients on project finance matters, including, pipeline and transportation projects, midstream gas processing facilities, power generation facilities, privatization projects and sports stadiums.
We regularly advise clients on derivatives, including the evolving landscape of clearing, reporting, margin, recordkeeping and other regulatory requirements and exemptions under Dodd-Frank. We negotiate and prepare documentation relating to swaps and other derivatives products, including ISDA Master Agreements.
Vorys is well known for its representation of public and private borrowers in syndicated credit facilities for working capital, long-term and acquisition financing, as well as private placements and cross-border and multicurrency facilities. We also advise our corporate clients on treasury matters, local tax incentive programs, aircraft financing and equipment leasing.
