The Tilleke & Gibbins Corporate/Commercial group advises on all aspects of starting and operating a business in Vietnam.
We regularly assist foreign clients in establishing representative offices or subsidiaries. We advise on corporate structure, local legal requirements, and preparation and filing of application dossiers, provide representation during discussions and negotiations with government agencies and prospective JV partners, and conduct related due diligence. We also assist with economic and feasibility studies, advise on real estate and land issues, and assist with other formalities necessary to obtain an investment certificate. Additionally, we provide assistance related to post-licensing requirements (e.g., tax and labor registrations and filings) and/or sub-licenses necessary to operate the business.
We help clients structure and implement strategic transactions that accelerate vertical or horizontal integration and industry consolidation, serving both international clients wishing to acquire operations in Asia by way of mergers, acquisitions, joint ventures, and other vehicles for equity investment, and international clients who wish to divest their companies or assets in Vietnam.
