The firm gives full-range corporate and M&A advice from establishments to complex restructurings and local and cross-border M&A transactions to trade and PE clients. Our expertise ranges from distressed assets M&A, real estate, retail and energy to IT and pharmaceuticals. We have notable experience in asset deals and regulatory matters and work closely with our top tier tax department on M&A transactions.

Many of our contract law experts have also experience in litigation which helps to prevent potential problems in contracts. We represent clients in shareholders’ disputes and corporate liability cases having been involved in several principal management liability cases, including the recent high-profile legal audit for Eesti Energia analysing the liabilities of the management board regarding exceeding the originally planned 190 MEUR budget for the construction of Enefit280 shale oil plant by 90 MEUR and the plant’s profitability.

The team has a very strong theoretical basis, e.g. having drafted the commentaries on the General Part of the Law of Obligations Act. Partner Sander Kärson is also a member of the Ministry of Justice’s corporate law audit committee that has been set up to review legislation regulating the corporate/commercial field. Partner Leonid Tolstov defended his PhD on tort liability making him an expert in corporate liability cases.
