The Firm designs and structures public and private Capital Market transactions for clients in the Colombian local and international markets, including bond issues, security listings, tender offers, securitizations, and other financial products including derivatives. We regularly structure and document private placements and products, such as private equity and venture capital funds.
This year, our team assisted many clients with share acquisitions and public tender offers. For example, we helped paper producers, Carton Colombia, acquire 30.6% of shares not already in its possession. With our assistance, Carton Colombia, a Smurfit Kappa subsidiary, now owns 92.5% of total outstanding shares which allows them to grow their position in Colombia.
In other public tender work, we advised the textile company, Coltejer, with its acquisition of shares from its minority shareholders. These acquisitions were essential for allowing Coltejer to improve its market position and better control the company’s operations. We also helped the Brazilian supermarket subsidiary, Sendas Distribuidora, acquire shares in Almacenes Éxito, a local supermarket chain.
