Corporate / M&A Practice Group represents one of the firm’s core pillars, advising on domestic and cross-border M&A transactions, distressed M&A matters, financing transactions, private equity transactions, corporate governance and (in- and out-of-court) restructurings.

The group has been recently involved regionally significant acquisitions, namely MHP’s acquisition of Perutnina Ptuj, a Slovenia-seated well-established and vertically integrated meat processing corporation in Southeast Europe (approx. EUR 270M with additional EUR 200M anticipated investments) and Xpediator’s bid for Intereuropa, the largest Slovenian logistics corporation (approx. EUR 100M). The group is also regularly involved in all major restructuring cases in Slovenia, advising either banks or debtors. Some of the more prominent clients that ODI has represented are the Bank Assets Management Company, SKB Societete Generale, EBRD, NLB, NKBM, Abanka, Sparkasse, Unicredit and Česka Sporitelna Bank.

ODI also specializes in corporate governance advisory and compliance reviews. ODI regularly supports Slovenian strategically important companies, such as PETROL, Perutnina Ptuj and Cetis, with preparation of shareholders’ meetings and acts as a chairman of shareholders’ meetings.
