Overview

ENSafrica’s project development and project finance department provides a complete offering across Africa, comprising regulatory, project interface, EPC and project-financing expertise. The team is well known for its involvement in high-level matters throughout Africa and advises domestic and international companies on all aspects of projects law, including:

  • early development licensing and permitting assessments followed by developing and negotiating supply and off-take agreements, front-end EPC and O&M, and project financing​
  • complete development of a bankable suite of permits, licences, project agreements and financing term sheets to render private IPP acceptable to the developer market
  • conducting due diligence investigations
  • transactional support in respect of privatisations and public private partnerships
  • regulatory compliance (competition law, licensing assistance and exchange control approvals)
  • advising on, and drafting, project agreements associated with the structuring, development, operation and maintenance of projects (including power purchase, transmission use of system and connection agreements, concessions, utility supply and procurement)
  • sophisticated funding arrangements (such as limited recourse project finance, capital markets funding, and ECA-backed funding)


Key industries and areas in which the team advises extensively include energy (including renewables), infrastructure and mining, oil and gas, and construction and engineering.
