We are one of the few Brazilian law firms with a fully dedicated fund formation team. We focus on the so-called structured funds, namely receivables funds (FIDC), private equity funds (FIP), real estate funds (FII) and agribusiness funds (Fiagro). We are routinely retained by domestic and foreign clients across all industries to assist them in structuring these funds and their public offerings and private placements of quotas. Our fund formation team covers the entire fund lifecycle, from formation to investments, divestments and public offerings. Our team also includes regulatory lawyers that assist our clients in connection with the rules issued by the Brazilian Securities and Exchange Commission, the Central Bank, the Brazilian Financial and Capital Markets Association, and other regulatory bodies applicable to operating in the fund industry in Brazil. We provide extensive advisory on matters concerning investment funds, from day-to-day disclosure requirements to innovative and disruptive discussions of new products and activities with the regulators. We are also well known for helping ultra-high net worth individuals and families to structure and hold their assets through investment funds, as a form of wealth and estate planning. Through this pioneer structure, we replicate in Brazil (a civil-law country) an arrangement similar to a trust, very popular in common-law countries, with the administrator of the funds acting as a “trustee” for the investors.
