Clients value CBA as a leading tax advisor in Italy.
Our complete spectrum of services includes domestic and international tax consultancy and assistance on income tax, VAT and other direct and indirect taxes.
Within the scope of national and international corporate reorganisations, M&A transactions and LBOs, we provide consulting and assistance in defining tax-driven corporate structures, analysing any tax issues with a strong problem-solving approach, carrying out due diligence before acquisitions and negotiating, drafting tax representations and drafting warranties in M&A and similar agreements.
The tax department partners with lawyers experienced in M&A, banking law, capital markets and real estate to counsel Clients on all tax aspects of the Italian and foreign transactions handled by CBA, such as loans, IPOs and mandatory bids, conversions into securities and other structured finance transactions.
Working side by side with their colleagues in other departments, the tax team has developed thorough knowledge in analysing and (interpreting) conventions for the avoidance of double taxation, defining transfer pricing policies and handling cross-border licences, cost-sharing agreements, dividend flows, royalties and interest.
CBA assists and represents residents and non-residents before the Italian tax authorities and the courts, assisting in settling tax disputes arising during tax audits, verifications with acceptance and in legal disputes up to the Supreme Court.
