Rebaza, Alcázar & De Las Casas advised Grupo Energía Bogotá on the successful international issue of its 5.750% Senior Notes due 2035 for up to US$ 500 million, under Rule 144A / Regulation S. The notes were placed on October 22, 2025, and purchased by BBVA, J.P. Morgan and Scotiabank, as initial purchasers.
Grupo Energía Bogotá (GEB) is a partially state-owned Colombian company and a leading energy group in Latin America, with over 128 years of experience and a diversified portfolio of energy companies in Colombia, Peru, Brazil, and Guatemala, through a large network of energy companies that comprise its economic group.
Our advice included the legal review, from the Peruvian regulation perspective, of the main issue documents (Offering Memorandum, Purchase Agreement, and Indenture), as well as a legal review of the status of GEB’s Peruvian subsidiaries.
The transaction required ongoing coordination with legal teams across multiple jurisdictions and a thorough review of the transactional documentation, ensuring compliance with the tight timelines set by the underwriters.
This issuance reinforces GEB’s position as one of the leading players in the Latin American energy sector and strengthens the group’s presence in international capital markets.
