Marval O´Farrell Mairal advised on the issuance of the “Waynimóvil XII” Financial Trust.
After advising on the issuance of eleven series, Marval O’Farrell Mairal once again acted as legal advisor in the issuance of the twelfth series of the “Waynimóvil” financial trust, which was issued under the public offering regime with automatic authorization of frequent issuances for an amount of ARS $ 3,527,910,521, under the “Waynimóvil” Global Trust Securities Program that securitizes 100% digital loans. The transaction took place on December 19, 2025, and included the issuance of trust debt securities Class A for a total amount of ARS $ 2,677,199,959, trust debt securities Class B for a total amount of ARS $ 741,595,128 and trust debt securities Class C for a total amount of ARS $ 109,115,434.
Waynicoin S.A. acted as settlor, trustee, administrator, and collection agent, while BACS Banco de Crédito y Securitización S.A. acted as trustee, arranger and placement agent, Worcap S.A. as arranger and Rosental S.A., Banco de Servicios y Transacciones S.A.U., Provincia Bursátil S.A., Adcap Securities Argentina S.A. and Banco Mariva S.A., as placement agents. Under the same structure as the previous issuance, the securitized assets of Waynimóvil XI consists of 100% digital format granted loans represented by private instruments executed electronically.
The trust securities were automatically authorized for public offering by the Argentine Securities and Exchange Commission and are listed on ‘Bolsas y Mercados Argentinos S.A.’ and traded on ‘A3 Mercados S.A.’ (former ‘Mercado Abierto Electrónico S.A.’).
