Marval advises Adecoagro in the Acquisition of a 50% Equity Interest in Profertil
Marval O’Farrell Mairal advised Adecoagro in the acquisition of a 50% equity interest in Profertil, one of South America’s leading producers of urea and ammonia.
In connection with Adecoagro’s acquisition of the 50% equity interest in Profertil previously held by Nutrien Ltd., the transaction was implemented through the acceptance by Profertil of the offer submitted by Agro Inversora Argentina, a company jointly controlled by Adecoagro and Asociación de Cooperativas Argentinas Coop. Ltda. (ACA), for the acquisition of all the shares held by YPF in Profertil, representing 50% of its share capital. The transaction value amounts to USD 600 million.
Adecoagro is one of the leading agribusiness companies in South America, with operations in Argentina, Brazil and Uruguay, focused on the sustainable production of food and renewable energy.
YPF is Argentina’s leading energy company and one of the region’s major industry players, with a significant presence in the exploration, production, refining and commercialization of hydrocarbons, as well as in the development of value-added energy solutions. Its historical participation in Profertil has been instrumental in the development of the fertilizer industry in Argentina.
This strategic transaction enables Adecoagro to further deepen its agro-industrial integration and reaffirms its long-term commitment to the sustainable development and competitiveness of the productive value chain.
The Marval O’Farrell Mairal team involved in the transaction was led by Pablo Viñals Blake and included Diego Chighizola, María Macarena García Mirri, Lucía D. Trillo and María Victoria Guerricagoitia as part of the team.
