fwp provides legal counsel to Immobilien Holding GmbH, a company of UniCredit Bank Austria, in connection with the selling of BAI Bauträger Austria Immobilien GmbH including its subgroup to a joint venture comprising SIGNA and an investment group including founders of Invester United Benefits.
Approximately one year after the beginning of the selling process and following complex contractual negotiations, a share purchase and transfer agreement was signed, by means of which – after the implementation of several restructuring measures – shareholdings of BAI in a total of 24 project and service companies were sold. The closing of the transaction is planned for the second quarter of 2017 subject to approval under antitrust law.
BAI is one of the largest real estate developers in Austria, planning investments running into billions for the next several years.
In addition to the partners Dr. Markus Fellner (lead), Kurt Wratzfeld (Labour Law), Paul Luiki (Corporate/M&A) and Lukas Flener (Antitrust Law), fwp’s core team consisted of attorneys Irena Gogl-Hassanin, Christoph Postl (both Corporate / M&A) and Georg Huber (Real Estate and Construction Law).
