In an international team-up with Dutch law firm Lexence, we have advised Den Hartogh Holding BV, a global company specialising in transport for the chemical, gas and food industries, on the acquisition of 100% of shares in H&S Group BV, a leading provider of logistics services for the transport of liquid food products.
H&S will become Den Hartogh's fifth business division, alongside Liquid, Gas, Global and Dry Bulk. The acquisition by our client of the Dutch company, which also operates in Poland, will enable it to expand the range of services that it offers and to strengthen its global market position, as a separate division will be created to transport liquid foodstuffs, together with staff who are experienced in this sector and a specialist fleet.
The project was carried out by a multidisciplinary DZP team coordinated by Bartosz Marcinkowski, Sylwia Kuca, Grzegorz Policht and Daria Dudek.
Advisers from the Corporate and M&A Practice responsible for conducting a due diligence of the Polish branch of the acquired company were supported by Agata Mierzwa and Zuzanna Gaczyńska from the Labour and Social Security Law Practice. Joanna Wierzejska and Joanna Kociołek-Ziemba were responsible for tax issues.
