Dentons Paz Horowitz advised Bancolombia S.A. in connection with a loan granted jointly with Banco Agrícola to a leading company in the regional packaging industry, recognized for its strong presence in the Latin American market and its strategic position within the sector, as part of its debt restructuring process.

The Firm’s Banking and Finance team, led by partner Gabriel Solís, was responsible for advising on the review and negotiation of the credit agreement, as well as the negotiation and structuring of the issuance of guarantees by the group’s Ecuadorian subsidiary in favor of the financial institutions, with the purpose of duly securing the obligations arising from the financing.

The work focused on providing strategic and technical advice regarding the credit documentation and on designing a robust, efficient and enforceable security structure under Ecuadorian law, aligned with best banking practices and tailored to the particularities of the corporate restructuring process.

Gabriel Solís led the local legal strategy of the transaction, coordinating the analysis of legal, corporate and regulatory risks, while associate Agustín Ormaza actively participated in the corporate and regulatory analysis, as well as in the drafting and formalization of the relevant documentation, contributing to the effective and secure implementation of the agreed structure.
