Buenos Aires, November 11th, 2022. On November 4th, Tarjeta Naranja S.A.U. issued Class LVI Notes —simple, non-convertible into shares, unguaranteed— for a total nominal amount of AR$8,437,300,488. The issuance was carried out under the frequent issuer regime (régimen de emisor frecuente) set forth by Section VIII, Chapter V, Title II of the Argentine Securities Commission (Comisión Nacional de Valores) regulations.  

Class LVI Notes will accrue interest at a floating rate, equivalent to Badlar private rate plus a cut-off margin of 4.5%; the maturity date will be on November 4th, 2023, and will amortize its 100% principal amount in one payment on its maturing date.

 

Class LVI Notes were admitted for listing on Bolsas y Mercados Argentinos S.A. and authorized for trading at Mercado Abierto Electrónico S.A.

 

In this notes issuance, Banco de Galicia y Buenos Aires S.A.U. acted as organizer and placement agent, while Banco Patagonia S.A., Banco Santander Argentina S.A., Industrial Valores S.A., Macro Securities S.A.U. and Nuevo Banco de Santa Fe S.A.  acted as placement agents. Tarjeta Naranja S.A.U. and Banco de Galicia y Buenos Aires S.A.U. turned to Beccar Varela’s team, led by Luciana Denegri, and comprised of associates María Victoria Pavani, Julián Ojeda, Tomás Cappellini and María Belén Tschudy. On the other hand, Pérez Alati, Grondona, Benites & Arntsen’s team, led by Diego Serrano Redonnet with the contribution of Alejo Muñoz de Toro, advised the placement agents.
