BBGS Saco-Vertiz & Landerer Abogados participated in the syndicated financing operation whereby Banco Internacional del Perú S.A.A. - Interbank, Scotiabank Perú S.A.A., and BD Capital Sociedad Administradora de Fondos de Inversión, acting as Lenders, granted the second tranche of financing in the amount of S/110’000,000.00 (One Hundred Ten Million and 00/100 Soles) in favor of Bembos S.A.C., EP de Franquicias S.A.C., EP de Restaurantes S.A.C., Alert del Perú S.A.C., Nutra S.A.C., and Corporación Peruana de Restaurantes S.A.C., acting as Borrowers, with the involvement of Scotiabank Perú S.A.A. acting as Administrative Agent and Collateral Agent, and NG Restaurants S.A. and Servicios Compartidos de Restaurantes S.A.C., acting as Guarantors. This transaction was complex, not only due to its magnitude but also because of the number of parties involved. The transaction successfully closed on February 29, 2024.
It is worth noting that the Borrowers are holders of well-established and reputable brands in the Peruvian food market, such as "Bembos," "Papa John’s," "Popeyes," "Dunkin Donuts," "Don Belisario," and "China Wok," and these companies are part of the Intercorp Group.
BBGS Saco-Vertiz & Landerer Abogados acted as legal advisor to the Borrowers and Guarantors. Carlos Saco-Vertiz Tudela, founding partner, led the operation and worked with Ygor Valderrama Reveggino, associate.
Estudio Garrigues acted as legal advisor to the Lender Banks and Agents. The lawyers involved were Jose Francisco Meier, Partner, Miluska Gutierrez, and Jorge Luis Ganoza, associates.
Guillermo Cabieses and Gustavo Yooko participated as Legal Director and lawyer, respectively, of Nexus Group, a company that provided financial advice to the Borrowers and Guarantors. Similarly, Javier Quicaño and Paulo Sanz participated as in-house legal advisors of the NGR group companies (Borrowers and Guarantors).
