SokSiphana&associates (SSA) was founded in 1998 by Dr Sok Siphana, soon after which he was invited by the government to serve as the Secretary of State, for the Ministry of Commerce from 1999 to 2005. After spending 4 years in Geneva, he returned in 2009 and resumed practice and the firm quickly rose to become one of the most prominent legal firms in the country. Banking & Project Finance
The firm advises on project financing, loan syndication, securities, loan, and credit swap facilities for various projects including power and transmission projects, MFIs, telecom projects, and major real estate developments. It also advised on a major Islamic project financing in relation to a real estate development in Cambodia.
The Corporate group advises on market entry, M&A, joint ventures, and cross border transactions covering various industry sectors. The work includes a full range of agreement drafting and review work pertaining to M&As, hotel management, corporate share subscriptions, project management, technical services, engineering, procurement, construction, and commissioning (EPCC), franchises and others. The group also specialises in M&A DD exercises.
Compliance & Licensing
The Compliance practice group specialises in investment licensing requirements, including for the importation of goods such as agricultural products, transportation, pharmaceutical products, and others. The group provides advisory services for licensing and permit requirements across all sectors in Cambodia including retail, F&B, and hospitality and tourism.
Employment & Human Capital Services
The Labor group advises and assists in the full spectrum of employment matters, including during mergers or reorganization exercises. Their work includes advising on employment contracts, HR policies, registration, and general compliance with employment laws.
The IP group offers a full spectrum of legal and consultancy services in the protection, commercial exploitation, and enforcement of all types of IP rights with a particular focus on Trademark and Patent registration and protection.
Real Estate & Construction
The Real Estate and construction practice group provides an extensive range of services from property conveyancing services to structuring large scale residential, commercial, and industrial developments. The group also specialises in establishing body corporate/owners’ associations as well drafting internal rules and licensing work for strata title properties.
Law Reform & Government Representation
Dr. Sok Siphana specialises in providing multilateral trade advisory services with a particular expertise in Cambodia’s international trade commitments under the WTO, ASEAN and other regional Free Trade Agreements.
The firm also provides advisory work on legal framework reform, most notably in the area of ridesharing, where the firm has advised UBER on the reform of the Cambodian transportation laws to include ridesharing service platform operators, thus enabling international operators to enter the market. Other policy advices include the Rice Export Policy and the Logistics and Transport Master Plan
The Arbitration practice group specialises in both domestic and international arbitration matters. They provide local expert services in foreign arbitrations and represent parties in local arbitrations before the Cambodian National Commercial Arbitration Center (NCAC). The firm has represented clients in proceedings in Singapore, Hong Kong, and Malaysia. Projects, Infrastructure & Utilities The Projects practice group specialises in advising on large scale greenfield and M&A infrastructure projects.
