M&A, Extraordinary Transactions & Private Equity:

Advice on extraordinary transactions has always been the focus of GTA’s practice, where prominent private equity players and industrial companies have trusted the firm with the planning, the organisation and the implementation of the deal as well as the investment structure, in relation to both private and public target companies. Giliberti Triscornia track record includes the assistance to the Permira Funds in the investment in Golden Goose, the advice to F21 in the acquisition, together with KKR, of NETCO (the network company created by Telecom Italia), the advise to Falck S.p.A. in the sale to funds advised by JP Morgan and ensuing delisting of Falck Renewables S.p.A., assistance to the controlling shareholders in the sale to funds advised by Invest Industrial, delisting of, and re-investment in La Doria S.p.A., the assistance in the Elliott Funds’ activist campaign for a Telecom Italia independent board, the advice in the take-to-private transactions of EI Towers (acquired by F2i and Mediaset) and Zephyro (acquired by Edison), the assistance to Lactalis in the acquisition of Nuova Castelli, the advice to the Permira Funds in their investments in the retail and healthcare sector and the assistance to the Providence Funds in the investments in the private education sector.


Banking & Finance:

GTA’s banking team has in-depth, specialised experience assisting clients in acquisition financing, leveraged financing operations, project finance, high yields, structured finance and securitisations. The firm leverages its expertise and knowledge of the equity and debt markets to assist companies, funds and alternative lenders making direct lending deals. The firm’s recent track record in the field highlights the assistance to Stack in its issuance of listed bonds and subsequent delisting, the advice to Société Générale in the financing of the DeA Capital/Ippocrate Fund, the assistance in the issuance of a mortgaged bond by Aedes SIIQ subscribed by Castlelake, the advice to Intercos in the relationship with its lenders and bondholders and, in the past, the Firm has advised in the financings to F2i for the investment in Infracom/McLink, to Tiscali for the post-restructuring refinancing of its indebtedness and to APAX for its acquisition bonds to fund its Italian acquisitions.


Litigation:

GTA’s vast experience in corporate and finance law has translated into a strong litigation practice - arbitral and judicial - that has expanded to the publishing and industrial property fields. The reputation of competence and loyalty the firm enjoys has earned GTA members many panel appointments in ad hoc proceedings (also managed by domestic and international institutions).

Special Situations:

Transactions involving companies in financial distress or bankruptcy are the fields where the multi-faceted professional capabilities of the firm’s members are put to the fullest use. The firm’s track record speaks of the assistance to Webuild in the acquisition of Astaldi and in the implementation of the Progetto Italia for the consolidation of the Italian infrastructure construction sector, the advice to Mediobanca in the restructuring of Sorgenia Group. The firm also advised in the major restructurings of SEAT Pagine Gialle, Riva and Ilva Group, GNV and Tiscali.

Private Clients:

With discretion and good judgment GTA assists domestic and international private clients in their estate planning and wealth protection plans. The firm has developed a strong experience in setting up simple partnerships and trusts, in drafting wills and trustee mandates, in dictating the rules governing donations or in setting up the governance of a family business in the context of a generational shift, as well as in litigating the above when needed.
