Firm Overview:

Formed in 2002 as a boutique corporate firm focused on entrepreneurship, Feinberg Hanson has grown with its clients and now represents hundreds of small to mid-sized businesses and investors. Its strategic focus, however, has always remained the same — to serve the core legal needs of business entrepreneurs seeking to grow their businesses and, ultimately, sell their companies or engage in other liquidity events. The firm brings expertise in entrepreneurship, finance, mergers and acquisitions, licensing and strategic partnerships to all of its clients and strives to be a catalyst for success. The firm knows deals and market terms and knows how to get those deals done – fairly and efficiently. More importantly, right from the start, the firm helps its clients make the right decisions and build their businesses for success.

Main Areas of Practice:

Entrepreneurship & Business Services:

Feinberg Hanson was founded to provide efficient business and legal advisory services to entrepreneurs forming and developing high-growth companies. The firm’s work starts at the very earliest stages of a company’s formation and includes structuring the business as well as providing advice on business and financing strategies. The firm frequently helps connect companies with its network of financing sources and other service providers. But the firm’s work doesn’t stop at inception. It takes many of its clients through multiple rounds of financing and ultimately to successful exits by merger or sale.

Licensing & Strategic Partnerships:

The firm represents its clients in connection with the development, licensing, marketing and distribution of their intellectual property assets. Although the firm does not prosecute patent applications, the firm is expert in licensing and distribution arrangements and in negotiating strategic partnerships among businesses. Feinberg Hanson also registers trademarks and service marks for its clients with the United States Patent and Trademark Office, including filing initial applications and responding to office actions and other matters arising up to the time of registration, as well as handling post-registration maintenance issues.

Venture Capital & Private Equity:

The firm represents angel investors and institutional private equity and venture capital firms in both early stage and growth equity investments. The firm also represents entrepreneurs and growth companies across a wide range of industries, including software, healthcare, health tech and informatics, medical device, life sciences, social media, manufacturing and specialty retail. Within the past 12 months, the firm has worked on 53 financing transactions ranging from $100,000 to $90,000,000 with total investment proceeds in excess of $323,545,000.

Mergers & Acquisitions:

The firm regularly represents buyers, sellers, private equity investors and transaction sponsors in a variety of domestic and international transactions, including mergers and other business combinations, leveraged acquisitions and recapitalizations and growth equity investments. Within the past 12 months, the firm has worked on 33 M&A transactions including domestic and cross[1]border transactions ranging in value from $250,000 to $1,200,000,000, with total transaction value in excess of $2,221,000,000.
