Specific Product Terms Event Sponsorship Terms

  1. Introduction

The following Event Sponsorship Terms will apply when you agree to purchase Sponsorship Rights from us. These should be read in conjunction with the Master Terms that will also apply.

  1. Interpretation

2.1 Where used in these Event Sponsorship Terms:
(a) 'Chambers Contact' means the person nominated from time to time by Chambers as your point of contact in relation to the purchase and exercise of the Sponsorship Rights;
(b) 'Customer Marks' means your firm name and any brand names, logos or signs used by you in relation to your services;
(c) 'Event' means the event or other sponsorship opportunity identified on the Event Sponsorship Booking Form;
(d) 'Event Marks' means any of our Marks, along with the name of the Event, and any other marks used singularly or collectively in association with the Event or in the exercise of the Sponsorship Rights;
(e) 'Event Sponsorship Booking Form' means the form provided by Chambers which must be completed and signed on your behalf, confirming the details of the Sponsorship Rights;
(f) 'Location' means the venue or location (which may be an online location) at which the Event will be held or take place, as set out in the Event Sponsorship Booking Form;
(g) 'Sponsorship Category' means the tier of sponsorship granted to you, as set out in the Event Sponsorship Form;
(h) 'Sponsorship Charge' means the charge payable by you to Chambers in respect of the Sponsorship Rights;
(i) 'Sponsorship Rights' means the rights granted to you as a sponsor in your relevant Sponsorship Category so far as expressly referred to in the Event Sponsorship Booking Form;
(j) 'Term' means the period for which the Sponsorship Rights are granted;
(k) 'Territory' means the countries set out in the Event Sponsorship Booking Form in which you may exploit the Sponsorship Rights;
(l) expressions defined in the Master Terms and used in these Event Sponsorship Terms have the meaning set out in the Master Terms; and
(m) the rules of interpretation set out in clause 2 of the Master Terms shall apply to these Event Sponsorship Terms.

  1. Sponsorship orders and payment

3.1 If you notify Chambers that you want to cancel any order submitted after we have accepted your order, as Chambers incur considerable costs prior to the Event including marketing, promotion and administration expenses, you acknowledge and agree that the following cancellation charges will apply and may therefore be retained us:
(a) 50% of the Sponsorship Charge if cancelled up to 28 weeks prior to the date or start date of Event;
(b) 75% of the Sponsorship Charge if cancelled between 28 weeks and 15 weeks prior to the date or start date of Event; and
(c) 100% of the Sponsorship Charge if cancelled within 15 weeks prior to the date or start date of Event.
You accept that the above constitutes a reasonable estimate of the likely issues and costs that we are likely to incur as a result of such cancellation and is not intended to operate as a penalty.

3.2 Chambers reserves the right to cancel the Event for any reason (including, without limitation, by reason of a Force Majeure Event). Chambers shall notify you of the cancellation as soon as possible. The parties agree that to the maximum extent permitted by applicable law:
(a) Chambers shall not be in breach of the Master Terms or these Event Sponsorship Terms by virtue of that cancellation or abandonment; and
(b) on Chambers notifying you of such cancellation these Event Sponsorship Terms shall automatically terminate, save that you shall be entitled to a refund of the Sponsorship Charge on a pro rata basis.

  1. Sponsorship

4.1 Chambers grants and you accept Sponsorship Rights during the Term, for the Territory and in accordance with the terms and conditions set out in the Master Terms and these Event Sponsorship Terms.

4.2 All rights not expressly granted to you under these Event Sponsorship Terms are reserved to Chambers.

4.3 Chambers grants and you accept a licence to use the Event Marks during the Term, for the Territory and in accordance with the terms and conditions set out in the Master Terms and these Event Sponsorship Terms.

4.4 You acknowledge and agree that Chambers is the owner or controller of the Sponsorship Rights and of all rights in its Marks and the Event Marks.

4.5 If any of the Sponsorship Rights are expressed to be exclusive, Chambers shall not grant the same rights to a third party for use in advertising, marketing or promoting products or services in the Sponsorship Category.

4.6 You grant, and Chambers accepts, a worldwide, sub-licensable, non-exclusive, royalty free licence to use the Customer Marks:
(a) during the Term for the delivery of the Sponsorship Rights; and
(b) in perpetuity to promote and exploit the Event in any media whether now known or yet to be invented (including in a computer game, on a website or mobile-device application) including by use on promotional material and merchandising.

4.7 You agree and acknowledge that the programme for the Event will be subject to changes and variation and we shall have no liability to you whatever in the event of such change or variation.

  1. Your obligations

5.1 You undertake to Chambers:
(a) to exercise the Sponsorship Rights strictly in accordance with the terms of these Event Sponsorship Terms;
(b) to use Event Marks and other branding materials provided by Chambers in accordance with Chambers' brand guidelines and/or instructions, including in relation to the application of any legal notices;
(c) not to apply for registration of any part of the Event Marks or anything confusingly similar to the Event Marks as a trade mark for any goods or services;
(d) not to use the Event Marks or any part of them or anything confusingly similar to them in your trading or corporate name or otherwise, or allow anyone else to do so, except as authorised under these Events Sponsorship Terms;
(e) not to do or permit anything to be done which might adversely affect any of the Sponsorship Rights or the value of any and all rights of commercial nature connected with the Event;
(f) to use your best endeavours to assist Chambers in protecting the Event Marks and not to knowingly do, or cause or permit to be done, anything which may prejudice or harm or which has the potential to prejudice or harm the Event Marks or the image of the Event, Chambers or the Location;
(g) to notify Chambers of any suspected infringement of the Event Marks, but not to take any steps or action whatsoever in relation to that suspected infringement unless requested to do so by us; and
(h) to hold any additional goodwill generated by you for the Event Marks as bare trustee for Chambers and to transfer or assign the same to Chambers at any time on request and in any event following termination of these Events Sponsorship Terms.

5.2 You have no right to sub-license, assign, deal with, or otherwise dispose of any of the Sponsorship Rights without our prior written consent.

5.3 You shall not engage in joint promotions with any third party in relation to the Event without our prior written consent.

5.4 You represent and warrant that you own or are entitled to use the Customer Marks and any other material supplied to Chambers in relation to the Sponsorship Rights and Chambers shall be entitled to see evidence to this effect on request.

  1. Our obligations

6.1 We shall procure the organisation and staging/ running of the Event at the Location at our sole cost and expense in accordance with these Events Sponsorship Terms.

6.2 We shall use our reasonable endeavours to deliver or ensure the delivery of each and all of the Sponsorship Rights to you.

6.3 We confirm that, whenever possible, we will ensure that your Marks will displayed at the Event, and that your Marks will be incorporated into promotional, advertising and publicity material, all in accordance with the Event Sponsorship Booking Form.

  1. Indemnity

7.1 You shall indemnify Chambers against all liabilities, costs, expenses, damages and losses (including but not limited to any interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by Chambers arising out of or in connection with any claim made against Chambers by a third party for actual or alleged infringement of a third party's Intellectual Property Rights or moral rights arising out of or in connection with Chambers use of the Customer Marks in accordance with these Event Sponsorship Terms.
