We provide a wide range of legal services to large and small businesses throughout their business life-cycles. These services are focused primarily on: forming and structuring business entities; governance and management arrangements; strategic contracts; regulatory compliance; financing (including venture capital and asset-based loans); and business acquisitions.

At the inception of a business or venture, we work with clients and their other business advisors to select and structure the business entity while considering their objectives with respect to management control, taxation, limitation of liability and financing.

As the business grows, we provide general counsel services, assist with control issues, tax planning, risk reduction measures, regulatory compliance programs and strategic contracting. We also counsel clients relative to legal aspects of obtaining all types of financing required to power their growth and acquisition initiatives, including venture capital and other high risk debt and equity offerings.

We regularly handle our clients' most significant transactions involving a convergence of corporate, tax, securities, environmental, labor and employment benefit and antitrust issues. 

Clients range from entrepreneurs, institutional investors, national entities, along with  U.S. subsidiaries of companies headquartered abroad. Our corporate practice regularly supports domestic and international transactions, and international tax planning and contractual negotiations.
