The Firm has extensive experience as counsel to Latin American corporate issuers, sovereign issuers, sovereign-backed issuers and their underwriters on SEC-registered offerings and unregistered offerings, whether they are qualified investors in the United States, pursuant to Rule 144A, or to investors outside the U.S., pursuant to Regulation S. Our clients span the region of Latin America, including those from Argentina, Belize, Brazil, Chile, Colombia, Ecuador, Mexico, Panama, Paraguay, Peru and Venezuela, among others. This work also extends to liability management transactions including distressed debt exchange offers, straight cash tender offers, modified Dutch Auctions, exchange offers coupled with consent solicitations, exchanges involving a mix of equity, convertible notes, debt securities and loans and open market liability management transactions not involving tender offers.

S&C continues to be among the few international law firms advising on offerings and liability transactions by sovereign issuers in the region, including Brazil, Colombia, Mexico and Panama.
