The Corporation Law Section of the Delaware State Bar Association, the source of virtually all annual revisions to the Delaware General Corporation Law, includes three Potter Anderson partners on its council. Potter Anderson represented JMP Group and certain affiliated individuals in a stockholder challenge to the acquisition of Harvest Capital Credit Corporation by Portman Ridge Finance Corporation, alleging that JMP, the alleged controlling stockholder of HCAP, improperly extracted unique benefits and consideration from the merger through certain alleged "side deals".
