Our Capital Markets practice advises issuers, regulated entities, and other market participants—both domestic and international—on matters involving transaction structuring, securities market regulation, and corporate governance. The team regularly handles issues of strategic importance to clients’ corporate activities, including the structuring of transactions that facilitate access to the capital markets, such as securities issuance programs and a wide range of financial products.

We represent clients in all interactions with the Securities Market Authority, including supervisory actions and administrative proceedings. This experience provides us with a deep understanding of the regulator’s standards and criteria, enabling us to deliver highly specialized advice. Our practice also has significant expertise in structuring public and private investment funds, as well as advising management companies and fund administrators throughout all stages of their business and fund operations.

The practice is led by Antonio Guarniz, a partner with over 30 years of experience in this field, including a decade at the Securities Market Authority. The team also maintains an active presence in academic forums and industry associations related to the securities market.
