Our Capital Markets Practice regularly advises several financial institutions in the structuring of public offerings, take-over bids, exchange offers, delisting of securities, employee stock option plans and trusts, among others.

 

On the local capital markets side, our Firm mainly advises Credicorp Capital Servicios Financieros, Interbank, BBVA and Scotiabank Perú (The four big players in the Peruvian capital market). 

 

On the international capital markets side, we are one of the leading advisors on Peruvian law. We have worked advising issuers, like Banco de Crédito del Perú, SURA Asset Management and Intercorp, and international banking institutions, such as Bank of America Merrill Lynch, JP Morgan Securities and Scotia Capital, in their role as arrangers and initial purchasers.

 

We also provide advice on creating real estate investment vehicles, such as FIRBI and FIBRA. Likewise, we advise the main institutional investors – mainly private pension funds and insurance companies – on the eligibility processes that allows them to invest in said investment vehicles, as well as in alternative instruments abroad.

 

For regulatory matters, we permanently advise the main participants in the securities market (mutual fund administrators, investment fund administrators, securitization companies, AFPs, insurance companies and securities issuers) in sanctioning procedures and consultations related to the various regulatory aspects critical to the functioning of the market.
