The department advises both startups and multinational companies. For early-stage clients it handles incorporation and founder arrangements, shareholder and vesting agreements, equity plans and financing rounds. For multinationals it acts on market entry, acquisitions, intra-group restructuring and the corporate maintenance of local subsidiaries. Other clients include domestic corporates, family-owned businesses in generational transition, and shareholders on the sell side, across manufacturing, medical devices, technology and shared services, hospitality and real estate, food and beverage and retail.
The core of the practice is transactional: mergers and acquisitions on both buy and sell side, share and asset purchases, joint ventures, corporate reorganisations, shareholder and investment agreements, legal due diligence, and the governance and contract framework that follows a deal. A significant share is inbound investment, structuring the entry of foreign investors into Costa Rica.
Being a full-service firm materially improves outcomes. A transaction rarely stays within corporate law, so the department draws on the firm's real estate, labour, tax, IP and litigation capability as issues surface, identifying property title, workforce liabilities, brand ownership and contingent claims during diligence rather than after signing.
