We help clients negotiate purchase and divestiture agreements, tender offers, restructurings, joint ventures, spin-offs, leveraged buyouts, and public-to-private transactions, and acquire distressed assets. We also advise public company targets and would-be acquirers regarding implementing or overcoming takeover defense mechanisms.
