Advice to clients involved in oil exploration, production, distribution, transportation of natural gas and related services, as well as private equity firms and commercial banks, on transactions, regulatory and technical matters typical to the industry.

Services include: incorporation of new businesses in Brazil and registration with Brazilian authorities; legal assistance with respect to all segments of the petroleum sector, including exploration, development, exploitation, refining, distribution, marketing, and import and export of crude oil, natural gas, LNG, and its derivative products; preparation and negotiation of a wide range of agreements, including joint operating agreements (JOA), unitization agreements, farm-out agreements, off-take agreements, onshore and offshore drilling agreements, fuel and petroleum by-products distribution agreements, construction, equipment supply, natural gas supply and transportation agreements; assistance with negotiating and engagement in project finance and structuring financing from capital markets; legal advice in connection with acquisition of equity interest in oil & gas companies, including preparation of due diligence reports and drafting of share purchase and shareholders agreements; legal advice and assistance regarding all phases of bid procedures for granting of concessions and production sharing agreements for the exploration and production of hydrocarbons in Brazil.
