About

Provided by Loyens & Loeff

The integrated approach within our Capital Markets team of corporate/banking lawyers with dedicated tax lawyers make us stand out from other law firms. On the corporate debt side, we have been engaged in a wide range of debt transactions, ranging from standalone public and private issuances to debt issuance programs and liability management transactions. On the equity side, we have a proven track record on a wide range of (cross-border) transactions, including IPOs, rights and share issues, share buy-back programmes, secondary offerings, block trades and issues of convertibles and  warrants. Furthermore, the team has advised various issuers with dual-class share structures, SPAC issuers and protective measures. For assistance with post-listing obligations and compliance matters, whether debt or equity, the team combines its regulatory, tax and financial reporting knowledge.

We have a very strong presence in Dutch RMBS and auto lease securitisations and are at the forefront when it comes to innovation and the development of new and complex securitisation structures. Loyens & Loeff was the first to develop and structure operational lease securitisations in the Netherlands. In addition to public securitisations, we frequently assist in the setting up of warehouse structures or lending platforms involving various types of assets such as mortgage loans, SME loans and trade receivables.
