Linklaters is one of the few firms in Thailand which can advise on the full range of U.S., UK and Thai laws, and on Regulation S, Rule 144A, Rule 10b-5 and U.S. SEC registered offerings through our global network of offices.

Our team has led a number of ground-breaking, innovative and highly structured capital markets transactions in Thailand. We implemented the first two infrastructure funds in Thailand, namely the BTS Rail Mass Transit Growth Infrastructure Fund and the True Telecommunications Growth Infrastructure Fund, and we are now working on the Thailand Future Fund which is going to be the largest such fund. These were highly structured and involved ground-breaking, never-before-done work.

We dominate the equity linked international market, such as convertible bonds and exchangeable bonds, issued by Thai-listed companies. The vast majority of the work done in this area has been done by us. In particular, all of the exchangeable bonds in Thailand to date have been structured and implemented by us.

We have worked extensively with the Securities and Exchange Commission and the Stock Exchange of Thailand and have developed strong relationships with these regulatory bodies. This allows us to gain unique insight into Thailand’s regulatory landscape and to provide an unparalleled level of advice to our clients on their capital market transactions.

Linklaters' acclaimed capital markets practice in Bangkok frequently advises clients on complex Thai and international structures on both the debt and equity sides. Its lawyers possess extensive experience of IPOs, exchangeable and convertible bond issuances and infrastructure funds, as well as transactional regulatory issues. The team acts for both issuers and financial institutions, holding experience on deals in the energy, manufacturing and finance spaces. It frequently collaborates with its Singapore and Hong Kong offices on Regulation S and Rule 144A transactions. The firm also advises Thai and regional clients on transactions in neighbouring countries.
