Latham & Watkins maintains its pre-eminent reputation for listings and issuances in South-East Asia, regularly advising on the legal aspects of headline IPOs and private placements. Also reputed for handling complex debt capital markets transactions, including note issuances, bonds and high-yield offerings. Its Singapore-based group is involved in work across the region, including India, Indonesia, the Philippines, Malaysia and South Korea. Clients include corporate issuers, underwriters and initial purchasers. Notable activity on issuances in the energy and resources, finance and retail sectors. Latham & Watkins advises such clients as Morgan Stanley, ICICI Securities and Adani Ports.

Foreign desks

Headed by Rajiv Gupta, the India desk is recognised for its ability to handle complex capital markets transactions for major Indian conglomerates. Its team also advises global financial institutions, especially on IPOs and debt issuances in India. The department advised the underwriters on Reliance Industries' USD7 billion offering of equity shares on the National Stock Exchange of India and the Bombay Stock Exchange.

Led by Michael Sturrock and Sharon Lau, the group features a deep bench of Indonesia-focused experts handling headline mandates for major international lenders, sponsors and Indonesian corporates. Particularly known for its work on equity and debt capital markets, the team acted for Tower Bersama Infrastructure on its USD300 million unsecured notes issuance.

Latham & Watkins's Singapore-based team is often active on capital markets work in Malaysia, led by Sharon Lau. The team acts for underwriters and issuers on IPOs in the Malaysian market, such as in its representation of the underwriters of Harps Holdings' IPO on the Main Market of Bursa Malaysia.

Notable practitioners

Jeremy Wang is a counsel in Latham & Watkins' capital markets team and handles a range of debt and equity issuances, particularly in China, as well as India and Indonesia. "He is not only able to advise the bank counsel, but he also communicates effectively with issuers when explaining concepts. He always tries to give very balanced advice and is thorough."

Michael Sturrock is the firm's Asia managing partner, possessing extensive experience in capital-raising transactions across the region of South-East Asia, including in Indonesia. He acts for high-profile corporates and financial institutions on a wide range of capital markets transactions, particularly note issuances.

Rajiv Gupta is based in Singapore and is "one of the esteemed leading lawyers in India and extremely strong acting for Indian issuers, as well as underwriters, and very strong on high-yield and structured transactions," notes an observer. He is further experienced in handling IPOs and block trades. His matters span a wide range of sectors, including energy, infrastructure, TMT and finance.

Sharon Lau has an impressive breadth of expertise across South-East Asia, regularly assisting companies and financial institutions across the region with IPOs and debt issuances, especially in Indonesia, Malaysia and Vietnam. A client confirms that "she is very knowledgeable and commercial."

Timothy Hia is well regarded for his structured finance and capital markets knowledge, with strong expertise in note and security issuances. He handles deals in Singapore and across the region.
