The firm’s M&A work focuses primarily on middle-market transactions and includes the representation of both buyers and sellers, including closely held and family-owned businesses, private equity-backed companies, and other privately owned enterprises. The team advises clients through all phases of M&A transactions, from letters of intent and due diligence through financing, negotiation of purchase agreements, ancillary transaction documents, and closing.

The practice handles sophisticated transaction structures and complex deal issues, including earnouts, rollover equity, and post-closing business relationships between buyers and sellers. The team also has significant experience serving as outside general counsel to small and middle-market companies, providing ongoing day-to-day business and legal guidance in addition to transactional support.
