Over the past two decades we have advised many major transactions in Bulgaria, including privatisations, private and public M&A, sale and restructuring of foreign, international and local businesses; establishment of different types of commercial entities; ongoing services to corporate clients, regulatory advice in a variety of sector and across sectors (e.g. in overarching topics as whistleblowing, GDPR, AI, and more).
In particular, our practice comprises: M&A deal structuring (share deals, asset deals, transfer of business, business combinations); full-scope or limited due diligence reviews; assistance in negotiations of SPAs; preparation of transaction documents; advice and practical implementation on business restructuring such as mergers, spin-offs, etc.; ongoing advice to clients on day-to-day operations of their local and foreign entities; drafting of/consulting on business agreements, including joint-venture agreements; drafting of general terms and conditions in specific industries.
