The Firm's Corporate and Special Projects Department handles corporate / M&A projects involving clients in diverse industries. The firm's legal services include the conduct of legal due diligence, drafting of transaction documents, advisory on structuring and other legal issues, assisting in negotiations of the transaction documents, obtaining regulatory approvals, assisting in the closing and project implementation.

One of the recent M&A projects of the Firm is Project Atlas where the Firm acted as counsel for DMCI Holdings, Inc. (DMCI HI), Semirara Mining and Power Corporation (SMPC), and Dacon Corporation (collectively, the “Purchasers”) in the acquisition of shares in Cemex Asian South East Corporation (CASEC) which in turn owns more than 89% of Cemex Holdings Philippines, Inc. (“CHP”), a domestic company whose shares are listed on the Philippine Stock Exchange.
