The department is led by Júlio Cesar Goulart Lanes, founding partner and national head of the Civil Department. Júlio oversees the strategic direction of the corporate practice, coordinating the structuring of transactions and advising on complex commercial and corporate disputes.
The corporate department is known for advising clients from the strategic structuring of businesses to the conclusion of transactions, always guided by three pillars: maximising business results, ensuring legal certainty and securing the long-term viability of the underlying business strategy. The team acts in corporate structuring and reorganisation, shareholders’ agreements, governance and ongoing corporate housekeeping, as well as in mergers and acquisitions, private equity and venture capital deals involving both local and international players operating in Rio Grande do Sul.
In the region, the firm frequently advises companies in the technology, healthcare services, automotive, telecommunications, infrastructure, petrochemicals, food, agribusiness, aviation and retail sectors, many of which have their decision-making centres or core operations in Rio Grande do Sul. The team assists clients at all stages of transactions, including the negotiation of preliminary documents, legal due diligence, drafting and negotiation of definitive agreements, and support with pre- and post-closing implementation.
