On June 18, 2026, Bifox Perú S.A.C., subsidiary of Australian company Bifox Limited, closed the initial acquisition of shares representing approximately 16.667% of the capital of Fosfatos del Pacífico S.A. (“Fospac”), formerly held by Fossal S.A.A., member of the Hochschild group.

 

The transaction comprises the right of Bifox Perú to acquire up to 100% of the shares in Fospac for an aggregate consideration amount of approximately US$61.9 million.

Fospac holds the rights to the Bayóvar 9 project, a phosphate rock deposit with an estimated resource base of 550 million tons, located in Sechura, Piura, in the northern coast of Peru. Phosphate rock is the primary raw material for phosphate-based fertilizers, an essential supply for agribusiness worldwide. With the development of this project, Bifox expects to be positioned as the third largest non-state phosphate rock provider in the world.

 

Bifox Limited is an Australian company focused on the development of phosphate rock projects. It currently develops initiatives in Chile and seeks to strengthen its presence in the region with the development of the Bayóvar 9 project. Simultaneously, with the closing of this transaction, Bifox announced its pre-IPO capital raising for US$60 million to cover for further acquisition payments and project development expenditures.
